• "Services" refers to website development, app development, SEO, AEO, digital marketing and any other services we agree to provide.
• "User", "you" and "your" refers to any individual or organisation accessing our website or engaging our Services.
• "Content" refers to any data, reports, designs, code, articles or other material we produce as part of a project.
• "Project" refers to a specific engagement scoped and agreed with a client.

3. Eligibility

You must be at least 18 years old to engage our Services. By using our website or Services you confirm that you meet this requirement.

If you are engaging Serpeyes on behalf of a company or organisation, you confirm that you have authority to bind that entity to these terms.

4. Enquiries and Onboarding

When you submit an enquiry or consultation request, you agree to:

• Provide accurate and complete information about your project and business
• Respond to reasonable requests for access, assets or feedback needed to deliver the project
• Take responsibility for the accuracy of any content, branding or credentials you provide us

We reserve the right to decline or discontinue an engagement if the information provided is materially inaccurate or the relationship is not workable in good faith.

5. Project Scope and Quotes

• We do not sell fixed packages. Every project is scoped individually based on your goals, timeline and budget, and confirmed in writing before work begins.
• Any timeline or pricing given during an initial consultation is an estimate and may change once the full scope is confirmed.
• Changes to the agreed scope after work has started may affect the price and timeline. We will communicate these changes before proceeding.

6. Payment

• Billing: Projects are billed according to the payment schedule agreed in your project proposal, typically a deposit followed by milestone or completion payments. All prices are in Singapore Dollars unless otherwise stated.
• Recurring services: Where a service such as SEO, maintenance or marketing is billed monthly, you may cancel at any time with notice as agreed in your proposal. We do not provide refunds for partial billing periods.
• Price changes: We will notify you at least 30 days before changing the price of an ongoing service. Continued use after the notice period constitutes acceptance of the new pricing.
• Failed or late payments: If a payment fails or is overdue, we will attempt to contact you. If payment is not resolved within 14 days, we reserve the right to pause work or suspend delivery of the service.

7. Acceptable Use

You agree to engage Serpeyes only for lawful purposes and in accordance with these terms. You must not:

• Ask us to audit, access or work on websites or systems you do not own or have explicit permission to work on
• Attempt to reverse engineer, copy or replicate our internal tools, workflows or methodology
• Use automated scripts or bots to access our website in ways not authorised by us
• Ask us to produce content that is misleading, defamatory or in violation of any applicable law
• Attempt to interfere with or disrupt the security or integrity of our website or systems
• Use our Services in any way that could damage the reputation of Serpeyes

8. Intellectual Property

Our intellectual property: Our internal tools, workflows, methodology and any pre-existing templates, frameworks or code libraries we use to deliver Services remain the intellectual property of Serpeyes. Nothing in these terms grants you rights to our internal tools or methodology.

Your intellectual property: You retain ownership of any content, branding, data or assets you provide us for a project. You grant us a limited licence to use this content solely for the purpose of delivering the project.

Project deliverables: Upon full payment for a project, ownership of the specific website, app, designs, content or reports we produce for you transfers to you, except for any third party components, licensed assets or our pre-existing tools and templates, which remain licensed for your use as part of the deliverable.

9. Data and Privacy

Your use of our website and Services is subject to our Privacy Policy, which is incorporated into these terms by reference. By engaging Serpeyes you agree to our Privacy Policy.

When you grant us access to third party accounts such as Google Search Console, hosting or analytics, you authorise Serpeyes to access and process the relevant data in accordance with the permissions you grant and our Privacy Policy.

10. Third Party Services

Delivering our Services may involve third party services such as hosting providers, payment processors, Google Search Console or app store platforms. Your use of these integrations is subject to the relevant third party terms of service. We are not responsible for the availability, accuracy or conduct of any third party service.

11. Disclaimers

Serpeyes provides website development, app development, SEO, AEO and digital marketing services based on our professional judgement and industry practice. We do not guarantee specific search engine ranking outcomes, app store approval timelines or business results.

Search engine algorithms, app store policies and platform rules change frequently and are outside our control. Results depend on many factors beyond our Services, including market competition and how recommendations are implemented.

Our website and Services are provided on an "as is" and "as available" basis. We do not warrant that they will be uninterrupted, error-free or completely secure. We make no warranties, express or implied, beyond those required by applicable Singapore law.

12. Limitation of Liability

To the maximum extent permitted by Singapore law, Serpeyes shall not be liable for:

• Any indirect, incidental, special or consequential damages arising from your use of our website or Services
• Loss of revenue, profits, data or business opportunities
• Any damages arising from reliance on our recommendations or deliverables
• Any issues arising from third party services integrated as part of a project

Our total liability to you for any claim arising from these terms or your engagement of our Services shall not exceed the total amount you paid us in the three months preceding the claim, or SGD 100 if you have not made any payment.

Nothing in these terms excludes liability that cannot be excluded under Singapore law.

13. Ongoing Services (SEO, Maintenance and Marketing)

Where you engage Serpeyes for an ongoing service such as SEO, website maintenance or digital marketing, the following additional terms apply:

• Scope of work: The specific services, deliverables and timelines will be agreed in writing before work begins.
• Client responsibilities: You agree to provide us with timely access to your website, hosting, Google accounts and any other assets reasonably required to deliver the service.
• Results: We will work diligently to improve your rankings, traffic or engagement but we do not guarantee specific ranking positions or traffic levels. Results depend on many factors outside our control.
• Cancellation of services: Either party may terminate an ongoing service with 30 days written notice. You remain responsible for payment of any fees due up to the termination date.

14. Confidentiality

Both parties agree to keep confidential any non-public information disclosed by the other party in connection with a project with Serpeyes. This obligation does not apply to information that is publicly available, independently developed or required to be disclosed by law.

15. Termination

We reserve the right to pause or terminate a project or ongoing service at any time if you breach these terms or if we reasonably suspect fraudulent or abusive use.

If we terminate an ongoing service without cause, we will provide a pro-rated refund of any prepaid fees covering the unused portion of the billing period.

You may terminate an ongoing service at any time by contacting us at hello@serpeyes.com, subject to the notice period agreed in your proposal.

16. Governing Law and Disputes

These terms are governed by the laws of Singapore. Any dispute arising from these terms or your engagement of Serpeyes shall be subject to the exclusive jurisdiction of the Singapore courts.

We encourage you to contact us first at hello@serpeyes.com before initiating any formal dispute process. Most issues can be resolved quickly through direct communication.

17. Changes to These Terms

We may update these Terms of Service from time to time. When we make material changes we will notify you by email or through a prominent notice on our website at least 14 days before the changes take effect. Your continued use of our website or Services after that date constitutes acceptance of the updated terms.

18. Severability

If any provision of these terms is found to be unenforceable by a Singapore court, that provision will be modified to the minimum extent necessary to make it enforceable. The remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms of Service, our Privacy Policy and any signed project proposal constitute the entire agreement between you and Serpeyes regarding your engagement of Serpeyes and supersede any prior agreements or understandings.
